By accessing or using the Solminica website (www.solminica.com) or any of our services, you agree to be bound by these Terms and Conditions. If you do not agree to all of these terms, you must not use our website or services. These Terms apply to all visitors, users, clients, and others who access or use our services. We reserve the right to update or modify these Terms at any time without prior notice.

Solminica provides digital transformation services including, but not limited to, web development, mobile application development, UI/UX design, cloud and DevOps services, digital marketing, cybersecurity, and technology consulting. All services are subject to a separate written agreement or Statement of Work (SOW) signed by both parties. These Terms govern the general use of our website and communications; specific project terms are defined in individual contracts.

All content on this website — including text, graphics, logos, images, and software — is the property of Solminica or its content suppliers and is protected by applicable intellectual property laws. • Client Work: Upon full payment, clients receive ownership of all custom code and deliverables created specifically for them, as outlined in the project agreement. • Solminica IP: We retain ownership of all pre-existing tools, frameworks, libraries, methodologies, and general know-how used in delivering services. • Website Content: You may not reproduce, distribute, or create derivative works from our website content without prior written permission.

When using our website or services, you agree to: • Provide accurate, complete, and current information • Not use our services for any unlawful purpose • Not attempt to gain unauthorized access to any part of our systems • Not transmit any viruses, malware, or harmful code • Not engage in any activity that disrupts or interferes with our services • Comply with all applicable local, state, national, and international laws and regulations

Payment terms are specified in individual project agreements and invoices. Generally: • A deposit (typically 30–50% of project value) is required before work begins • Milestone payments are due upon completion of defined deliverables • Final payment is due before final delivery or deployment • Invoices are payable within 15 days of issue unless otherwise agreed • Late payments may incur interest charges at 1.5% per month or the maximum permitted by law Solminica reserves the right to suspend work on a project if payments are not received according to the agreed schedule.

Both parties agree to keep confidential all proprietary and sensitive information shared during the course of the engagement, including business strategies, technical specifications, client data, and pricing. This obligation survives the termination of any agreement. We sign NDAs upon client request before discussions begin for sensitive projects.

To the maximum extent permitted by applicable law, Solminica shall not be liable for: • Any indirect, incidental, special, consequential, or punitive damages • Loss of profits, revenue, data, or business opportunities • Service interruptions or downtime beyond our reasonable control Our total liability for any claim arising from our services shall not exceed the total amount paid by the client in the three months preceding the claim.

Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan, India. For clients in other jurisdictions, applicable local consumer protection laws may also apply.

Either party may terminate a service engagement with written notice as specified in the project agreement. Upon termination: • Work completed to date shall be delivered to the client • Client shall pay for all work completed up to the termination date • Any outstanding balances become immediately due and payable • Both parties shall return or destroy confidential information of the other party
